ARTICLE I
CORPORATE STATUS, REGULATORY FRAMEWORK, AND DISCLOSURES
1.1 Corporate Identity and Legal Status
MedBlue, LLC ("MedBlue," "Company," "we," "us," or "our") is a limited liability company duly organized and operating as a Discount Medical Plan Organization ("DPO") in accordance with Florida Statutes Chapter 636, as amended from time to time, and any other applicable federal, state, or local laws and regulations.
MedBlue is not an insurance company, does not issue insurance policies, does not underwrite or assume insurance risk, does not pay claims, and does not reimburse members for medical services. MedBlue does not replace health insurance and does not guarantee coverage, payment, or reimbursement for any medical service.
1.2 Nature of Services Provided
MedBlue provides access to a network of participating healthcare providers who have agreed, pursuant to independent contractual arrangements, to offer medical, dental, vision, prescription, diagnostic, and related healthcare services to MedBlue members at discounted rates. Members are solely responsible for payment to providers for services rendered, subject to the negotiated discounts.
1.3 Governing Nature of This Policy
This Cancellation, Refund, Billing Authorization & Dispute Resolution Policy (the "Policy") constitutes a binding contractual agreement between MedBlue and each enrolled member ("Member"). This Policy governs all matters relating to:
- Enrollment authorization
Billing and automatic payment
Cancellation rights
Refund eligibility and limitations
Dispute handling and chargebacks
Member acknowledgments and waivers
Enrollment in a MedBlue membership constitutes affirmative acceptance of this Policy.
ARTICLE II
MEMBERSHIP ACTIVATION AND IMMEDIATE ACCESS
2.1 Activation Upon Enrollment
Upon successful enrollment and receipt of initial payment, a MedBlue membership is activated immediately. Activation includes, without limitation:
- Access to MedBlue's provider directory
Eligibility to receive discounted services
Activation of telehealth and virtual care services (where applicable)
Access to administrative support and hospital bill negotiation services
2.2 Administrative and Operational Costs
The Member acknowledges that MedBlue incurs non-recoverable administrative, operational, compliance, licensing, technology, and third-party costs at the time of enrollment, regardless of whether the Member subsequently uses the benefits.
Accordingly, membership fees are not held in escrow and are not contingent upon utilization.
ARTICLE III
BILLING STRUCTURE AND AUTOMATIC PAYMENT AUTHORIZATION
3.1 Authorization to Charge
By enrolling in a MedBlue membership, the Member expressly authorizes MedBlue to initiate charges to the payment method provided at enrollment, including but not limited to:
- Credit card
Debit card
ACH bank account
Any other approved electronic payment method
This authorization applies to initial, recurring, renewal, and applicable administrative charges, and remains in effect until the membership is properly canceled pursuant to this Policy.
3.2 Recurring Billing Consent
The Member acknowledges and agrees that MedBlue memberships are billed on a recurring basis, either monthly or annually depending on the plan selected, and that:
- Charges will occur automatically without additional authorization each billing cycle
MedBlue is not required to provide advance billing reminders
The burden of cancellation rests solely with the Member
3.3 Accuracy of Payment Information
The Member represents and warrants that all payment information provided is accurate and authorized for use. MedBlue is not responsible for declined transactions resulting from insufficient funds, expired credentials, or banking restrictions.
ARTICLE IV
THIRD-PARTY ENROLLMENT AND AGENCY AUTHORIZATION
4.1 Enrollment by Authorized Representative
In certain circumstances, enrollment may be completed by a licensed insurance agent, broker, enrollment specialist, employer representative, or other authorized third party ("Authorized Representative") acting on behalf of the Member.
4.2 Member Authorization
By permitting enrollment through an Authorized Representative, the Member:
- Designates the representative as their lawful agent for enrollment purposes
Authorizes the representative to provide consent on the Member's behalf
Acknowledges that enrollment completed by the representative is binding
4.3 Reliance by MedBlue
MedBlue is entitled to rely, without independent verification, on the representations, authorizations, and confirmations provided by the Authorized Representative. Any dispute between the Member and the representative does not invalidate enrollment or billing.
ARTICLE V
CANCELLATION RIGHTS AND PROCEDURES
5.1 Right to Cancel
The Member may cancel their MedBlue membership at any time by submitting a cancellation request through MedBlue's designated channels.
5.2 Effective Date of Cancellation
Cancellation becomes effective at the conclusion of the current billing period. Access to benefits remains available through the end of the paid term.
5.3 No Retroactive Cancellations
MedBlue does not permit retroactive cancellations. Failure to cancel prior to a billing date does not relieve the Member of responsibility for charges incurred.
ARTICLE VI
REFUND POLICY - GENERAL PRINCIPLES
6.1 Limited and Conditional Nature of Refunds
Refunds are not guaranteed and are offered only under limited circumstances consistent with Florida DPO regulations and this Policy. The issuance of a refund is a discretionary administrative determination by MedBlue.
6.2 Thirty-Day Initial Period
Subject to compliance with all requirements herein, a Member may request a refund within thirty (30) days of initial enrollment.
ARTICLE VII
MANDATORY WRITTEN REFUND REQUEST REQUIREMENT
7.1 Exclusive Method of Request
Refund requests will only be considered if submitted in writing via email.
7.2 Email Authentication Requirement
The refund request must be sent from the Member's MedBlue email address on file.
7.3 Designated Email Address
Refund requests must be sent exclusively to:
Requests sent to any other address, platform, or individual are deemed invalid.
7.4 Required Contents
The request must clearly include:
- Member's full legal name
Account email address
Enrollment date
Explicit request for refund
Reason for request
7.5 Confirmation of Receipt
A refund request is not deemed received unless MedBlue issues written acknowledgment.
ARTICLE VIII
NON-REFUNDABLE CIRCUMSTANCES
Refunds shall not be issued for, including but not limited to:
- Requests submitted outside the 30-day window
Failure to comply with Article VII
Partial billing cycles
Utilization or access of benefits
Provider dissatisfaction
Misunderstanding of plan terms
Claims that MedBlue functions as insurance
All fees are deemed earned upon billing.
ARTICLE IX
DISPUTE RESOLUTION AND CHARGEBACKS
9.1 Agreement to Direct Resolution
The Member agrees to first contact MedBlue directly regarding billing concerns and to follow this Policy prior to initiating any dispute with a financial institution.
9.2 Chargebacks
If a Member initiates a chargeback:
- MedBlue may suspend or terminate access
Refund eligibility may be forfeited
MedBlue may submit this Policy and supporting records as evidence
9.3 Waiver of Disputes (To the Fullest Extent Permitted by Law)
The Member agrees, to the maximum extent permitted by law, to refrain from initiating chargebacks in lieu of the procedures outlined herein.
ARTICLE X
LIMITATION OF LIABILITY
To the fullest extent permitted by law, MedBlue shall not be liable for:
- Provider actions or omissions
Medical outcomes
Pricing variations
Network availability
ARTICLE XI
GOVERNING LAW AND SEVERABILITY
This Policy shall be governed by the laws of the State of Florida. If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.
ARTICLE XII
ACKNOWLEDGMENT AND ACCEPTANCE
By enrolling, the Member affirms that they:
- Understand MedBlue is not insurance
Authorize automatic billing
Accept limited refund rights
Agree to written-only refund requests
Accept this Policy as binding
